Terms of Service

1. Who we are

Vestari is a private archive, search, and market-benchmark tool for licensed and independent luxury watch dealers. The service is operated by A&R Timepieces LLC, a Florida limited liability company doing business as Lumetrade, with a mailing address in West Palm Beach, Florida. In these Terms, “Vestari,” “we,” “us,” and “our” mean A&R Timepieces LLC. “You” means the individual or business that uses the service.

2. Acceptance and eligibility

By creating a Vestari account, connecting a WhatsApp session, or using any part of the service, you agree to these Terms and to our Privacy Policy. If you disagree with any part, do not use the service. You must be at least 18 years old and have authority to bind the business you represent. Vestari is a business-to-business tool intended for use by watch industry professionals, not consumers.

3. Your account

You are responsible for keeping your password confidential and for every activity that happens under your account. Notify us at hello@getvestari.com immediately if you learn of any unauthorized use. We may suspend or terminate accounts that violate these Terms, are used to scrape, resell, or share access, or that pose a security risk.

4. How the service works — WhatsApp and dealer data

Vestari connects to your personal or business WhatsApp session through the WhatsApp Web protocol. We do not use the WhatsApp Business Cloud API and are not affiliated with, endorsed by, or a partner of WhatsApp or Meta. You are solely responsible for ensuring your use of WhatsApp Web through Vestari complies with WhatsApp's Terms of Service and your group administrators' rules.

Vestari reads the messages that flow through the groups you choose to monitor and extracts watch-related pricing signals for your private archive. Live market benchmarks presented in the service are derived from the dealer network in aggregate. We do not disclose which individual dealer said what.

5. Subscriptions, billing, and auto-renewal

Plans and prices. Vestari offers month-to-month subscription plans at the following rates, billed in U.S. dollars through Stripe:

• Quarter — $39.99 per month (90 days of rolling comp history)
• Half — $64.99 per month (6 months of rolling comp history)
• Full — $100.99 per month (12 months of rolling comp history)

Free trial. New accounts receive a 7-day free trial. You will not be charged until the trial ends. If you do not cancel before the trial ends, your plan will convert to a paid monthly subscription at the price shown above and your payment method will be charged automatically.

Auto-renewal. Your subscription will automatically renew each month on the same day of the month you started, using the payment method on file, at the then-current monthly rate for your plan, until you cancel. You authorize A&R Timepieces LLC (d/b/a Lumetrade) to charge your payment method on this recurring basis. Charges will appear on your statement as “LUMETRADE VESTARI” or “LUMETRADE”.

How to cancel (click-to-cancel). You can cancel at any time, for any reason, from your account settings in a single click, using the same online medium in which you signed up. Cancellation stops the next renewal but does not refund the current period; you will retain access through the end of your paid period. You may also email hello@getvestari.com and we will process the cancellation on your behalf within one business day.

Refunds. All monthly charges are non-refundable. Because you can cancel at any time and keep access through your paid period, we do not issue prorated refunds for the unused portion of a billing month, except where required by law.

Price changes. We may change subscription prices from time to time. Any change will be communicated to you by email at least 30 days before it takes effect and will only apply to renewals occurring after that notice period. If you do not agree to the new price, you may cancel before the change takes effect.

Failed payments. If a charge is declined, we will retry for up to 14 days. During that time your account may be limited. If payment cannot be collected, the subscription will be canceled and your access will end.

6. Referrals and affiliate program

Vestari operates a referral program. Approved referral partners earn a percentage of net profit on paying accounts they refer, paid monthly by ACH or check while the referred account remains in good standing. Program terms, commission rates, and payout rules may change with 30 days' notice. We may pause or end the program at any time. Nothing in the program creates an employment, agency, joint venture, or franchise relationship between you and Vestari.

7. Acceptable use

You agree not to:

• Resell or share your account with anyone outside your business.
• Extract, mirror, or bulk-export the service's data or database.
• Reverse engineer, decompile, or attempt to derive source code.
• Use the service to violate any law or third-party rights.
• Interfere with, overload, or attack the service or its infrastructure.
• Post prohibited content (fraud, stolen goods, weapons, drugs, alcohol sales to minors, or hate speech).

8. Intellectual property

Vestari, the Vestari logo, Lumetrade, and the site design are owned by A&R Timepieces LLC. You retain ownership of the content you input. You grant us a limited, worldwide, royalty-free license to store, process, and display that content solely as needed to operate the service. Aggregated, de-identified market benchmarks derived from the dealer network are our property.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Vestari provides market signals for your reference only. It is not a valuation, appraisal, or investment advice. You are solely responsible for your pricing decisions and any transactions you enter into.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL A&R TIMEPIECES LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will defend, indemnify, and hold harmless A&R Timepieces LLC from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the service, your content, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may cancel at any time from your account settings. We may suspend or terminate your access immediately if you violate these Terms, if we are required to by law, or if continued service would create a security or legal risk. Sections 5, 8, 9, 10, 11, 14, and 15 survive termination.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Binding arbitration and class-action waiver

Please read carefully. Any dispute, claim, or controversy arising out of or relating to these Terms or the service (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. Arbitration will take place in Palm Beach County, Florida, or by video, at the arbitrator's election. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Vestari agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Jury waiver. If any Dispute proceeds in court rather than arbitration, both parties waive the right to trial by jury.

Small claims exception. Either party may bring a qualifying claim in small claims court instead of arbitration.

Opt out. You may opt out of this arbitration agreement by emailing hello@getvestari.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email at the address on file at least 15 days before the change takes effect. Continued use of the service after that date means you accept the updated Terms.
